 | | Section P.01 The Potomac Rugby Union is a non-profit corporation within the District of Columbia. The Corporation is organized under the auspices of Mid-Atlantic Rugby Football Union (MARFU), and acquiesces to the Articles of Incorporation and By-Laws of the MARFU.
Section P.02 The aim of the Corporation is to promote the growth and assist in the administration of the game of Rugby Union Football as played under the Laws of the United States of America Rugby Football Union (USARFU).
Section P.03 The Corporation has jurisdiction over its members in all matters of a local nature pertaining to the administration of rugby activities to include, but not restricted to, scheduling of games, discipline, application of the Laws of the game and related matters except where indicated.

 | | Section 1.01 The name of the Corporation shall be the Potomac Rugby Union, hereinafter referred to as "the Union".

 | | The organization of the Union shall consist of:
Section 2.01 An Executive Committee (EC) composed of the Union President, Vice President, Treasurer and Secretary.
Section 2.02 A Board of Directors (BOD), as defined later in this constitution, shall include the members of the Executive Committee.
Section 2.03 One representative, hereinafter referred to as a "Governor", from each of the member clubs, of whatever grade of membership, and when assembled together to be known as the Board of Governors. A Governor shall not simultaneously hold a Directorship of the Union, and the Board of Directors shall be separate from, and responsive to, the Board of Governors.
Section 2.04 The Potomac Society of Rugby Football Referees, (PSRFR) which shall have the right to appoint one Director to the Union Board of Directors. The PSRFR shall be an autonomous, self-governing and self-regulating body within the Union, and shall be responsible for applying the Laws of the game as properly directed by the Union.

 | | Section 3.01 JURISDICTION. Membership in the Union shall be open to all rugby clubs having their main playing grounds within the State of Maryland, the District of Columbia, and the northern Virginia counties of Arlington, Fairfax, Loudoun, Prince William, Clarke, and Frederick, and all incorporated cities within those counties and the city of Alexandria. Clubs whose grounds are adjacent to but outside the area of the Potomac Rugby Union jurisdiction may become eligible for membership of the Potomac Rugby Union only after obtaining written permission of the Union within whose boundaries their ground lies.
Section 3.02 TYPES OF CLUB MEMBERSHIP. Board of Directors will have authority to approve the status of clubs upon petition of the club. Membership shall be designated as Full, Associate and Recognized Members (hereinafter referred to as members). The memberships are defined as follows:
a. Full Members: Are those clubs which, having been duly elected to full status by the Board of Governors and pay dues at the full rate to the Union. Full members shall appoint a representative (Governor) to the Board of Governors, who shall be entitled to vote at Governors' meetings. Full members shall be eligible to stand for election to the Board of Governors. The list of Full Members will be update and replaced at the last meeting of the Board of Governors each year.
b. Associate Membership. Associate members are those clubs which are eligible to join the Union and are awaiting election to Full membership. Associate members will be required to apply for Full membership at the end of the second complete season following the date of their accession to the Union, such accession being decided by majority vote of the Board of Directors. Associate members dues shall be decided by the Board of Directors but shall be reduced below the Full Member rate. Associate Members shall appoint a Governor to the Board of Governors, who shall be entitled to vote at Governors’ meetings except in fiscal (budget) and electoral matters. Associate Members shall be eligible to stand for election to the Board of Governors. An Associate Member may become a Full Member only after:
1. a minimum one year probationary period, and
2. a second affirmative vote of approval by three-fourths of a quorum of the Governors and
3. any additional requirement that the Governors may from time to time impose, provided said additional requirement is reasonable and is not intended to discriminate in any way.
c. Recognized Membership. Groups or individuals may become Recognized Members after and affirmative vote of three-fourths (3/4) of a quorum of the Board of Governors at a duly constituted meeting. Recognized members may be represented at Governors meetings, but will have no vote. These members shall be entitled to such rights and privileges at such time the BOG deems it appropriate. Recognized members are eligible to stand for election as members of the BOD and may be tasked by the BOD to discharge temporary duties as Agents of the Union. Recognized members’ dues shall be decided by the Board of Directors but shall be below the Associate Member rate.
d. Requirements for Membership. The requirements for membership are stated in Schedule XV. These requirements may be changed by a two-thirds (2/3) vote of the Board of Governors.
e. Rights and Privileges of Membership. The following table details what rights and privileges are extended to the various classes of membership.

Section 3.03 ACQUIESCENCE OF MEMBERS. Full, Associate and Recognized Members shall acquiesce to the By-Laws and Articles of Incorporation and written policies of the Union.
Section 3.04 RESIGNATION. Any member may resign from the Union at any time. The resignation must be submitted in writing to the President of the Union. The resigning Member will be liable for its share of the financial obligations of the Potomac Rugby Union for the Fiscal Year in which the resignation submitted and any prior financial obligations.
Section 3.05 DUTIES AND OBLIGATIONS OF MEMBERS: In order for a member to maintain its status with the Union, a member club must attend at least two (2) meetings per season with the Election and Budgetary Meetings being mandatory. Associate Members must attend all meetings in the year they make application for Full Membership. If a member does not attend the required number of meetings, they will be available for sanctioning as determined by the Board of Directors and approved by the Board of Governors ranging from, but not limited to, fines and/or suspension as deemed appropriate at the time or as defined in the Union Handbook.
All fines levied will be payable within thirty (30) days of notice or by the next regular Union meeting. Failure to pay a levied fine may result in expulsion from the Union.
a. It is the duty of all members to maintain and ensure the growth of this and other Rugby Unions. In that effort, it is mandatory that all matches arranged by those members be scheduled and played against only those members of Rugby Unions recognized by Mid-Atlantic Rugby Football Union and the United States of America Rugby Football Union.
b. It is the duty and obligation of all members to remain in good financial standing at all time.
Section 3.06 REGISTRATION OF COLORS. All members shall register their colors with the Union. Failure to register colors, or wearing of unapproved colors, shall result in sanction and/or disciplinary action by the Board of Governors in its sole discretion.
Section 3.07 MERGERS OF MEMBER CLUBS. All member clubs wishing to merge with another member club must declare that intention, in writing, to the Union Secretary prior to the next Governor's meeting to be voted on at the next meeting. The successor club will be responsible for any obligations of the merging clubs.
Section 3.08 APPLICATION OF TRANSFER FROM ANOTHER UNION. Any member of another Local Area Union must apply in writing for membership in the PRU and hold no financial or other obligations in the union they currently are a member of.

 | | Section 4.01 PLACE OF GOVERNORS MEETING. Election, Budgetary and Special Meetings of the Governors shall be held at such place within the Union boundaries as may be fixed from time to time by the Governors and stated in the notice of the meeting of in a duly executed waiver of notice thereof.
Section 4.02 ANNUAL ELECTION AND BUDGET MEETINGS. The Annual Election meeting of the Governors shall be held during the first three weeks of February each year for the purpose of electing Directors and Officers. The Annual Budgetary meeting of the Governors shall be held during the first three weeks of November for the purpose of approving the annual Union budget for the following year and the transaction of such other business as may properly come before either meeting. The Annual General Meeting of the Board of Governors shall be held during the last two weeks of January or the first two weeks of February for the purpose of electing Directors and Officers according to the schedule provided in Article V, as well as taking a final vote on the annual budget, the transaction of business as may properly come before the meeting, giving end-of-year wrap-ups, and making preparations for the start of a new year. The Annual Budget Meeting of the Board of Governors shall be held during the last three weeks of November or the first week of December for the purpose of discussing and taking a first vote on the annual Union budget for the following year and the transaction of business as may properly come before either the meeting. The date for either meeting may be set for some other time upon a three-fourths vote of the Board of Governors at the meeting immediately preceding the meeting which is to be scheduled for some other time.
Section 4.03 SPECIAL MEETINGS. A Special Meeting of Governors may be called at any time and for any purpose by the President or by the request of at least one-third of the Governors.
Section 4.04 ATTENDANCE AT MEETINGS BY DIRECTORS. The members of the Board of Directors shall attend the meetings of the Governors, for Elections, Budget and Special. The President, or in his/her absence, the Vice President or any one of the other Executive Officer of the Union, shall preside over the meeting. Directors shall not be entitled to vote at Governors meetings except where a Director is holding a written proxy given to them by a Governor, or except where the President's vote is required to break a tied vote by Governors. Agents of the Union, as described in Section 8.01, may attend Governors' meetings, but shall not vote.
Section 4.05 ATTENDANCE AT MEETINGS BY GOVERNORS. Members not in attendance may be sanctioned as indicated in section 3.05.
Section 4.06 NOTICE OF MEETINGS. Notice of the place, date, hour and purposes of any Governors' meeting shall be given in writing to each Governor not less than 14 days prior to the meeting. Approved forms of notice shall be postal mail, e-mail (either directly to a Governor’s e-mail address or via the PRU list service), or the PRU web site.
Section 4.07 WAIVER OF NOTICE. Notice of meetings need not be given to and Governor who submits a waiver of notice, signed in person or by proxy, before the meeting. The attendance of a Governor at a meeting, in person or by proxy, without protesting prior at the start of the meeting the lack of notice of such meeting, shall constitute a waiver of notice by him.
Section 4.08 QUORUM. At all meetings of Governors, except as otherwise provided by statute or the Articles of Incorporation, one-half of the Governors, present in person or by proxy shall be requisite for and shall constitute a quorum for the transaction of the affairs of the Union.
Section 4.09 VOTE OF MEMBERS. Each Governor shall have one vote. Whenever any action or policy is to be decided by vote of Governors, it shall, except as otherwise required by statute or by the Articles of Incorporation, be authorized by a majority of the votes cast by such Governors present at a duly constituted meeting of the Governors.
Members delinquent in their dues or other financial obligations to the PRU, or to another rugby governing body, or to another rugby club, or to another rugby-affiliated organization will not be entitled to vote unless the delinquency is resolved prior to the start of the meeting. Said resolution of delinquency and entitlement to vote will be determined by the PRU Board of Governors.
Section 4.10 GOVERNORS PROXIES. Governors or clubs may appoint voting proxies only in writing. Absence of written proxy shall deny the substitute Governor the right to vote at Governors' meetings. | |

 | | Section 5.01 A Board of Directors, as described in Article II, shall be elected by the Governors.
Section 5.02 DIRECTORS NUMBER, QUALIFICATIONS, AND TERM OF OFFICE. The number of Directors shall be ten. Directors shall be elected to hold office for a term of two years, five offices becoming due for election in odd years and five in even years. Any Director can serve for one or more terms. All Directors shall be at least 18 years old. The composition of the Board of Directors shall be:

Section 5.03 DIRECTORS ELECTIONS. Election for the Board of Directors shall be by ballot whenever requested by any Governor, or as provided for in Section 4.02. No more than five Directors shall be replaced on any one occasion, except where a majority of three-fourths of Governors vote to replace more than five Directors.
Section 5.04 PLACE OF MEETING. Board of Directors meetings shall be held at any place within the Union boundaries as may from time to time be determined by the Board of Directors.
Section 5.05 ANNUAL AND REGULAR MEETINGS OF DIRECTORS. There shall be no such thing as an Annual Meeting of the Board of Directors. Regular meetings shall be held with notice in conjunction with each Governor's Meeting throughout the year as is necessary. A Board of Directors meeting shall be held during the two weeks immediately preceding any Governors meeting. Members of the Board of Directors shall attend Governors meetings, but shall not vote therein. Directors will report, in writing at each of the Governor's Meeting on the status of their office and any event and/or issues pertaining to the Union.
Section 5.06 DIRECTORS QUORUM AND MANNER OF ACTING. Five of the members of the Board of Directors must be present in person to constitute a quorum for the transaction of the affairs of the Union. Each Director, including the President shall be entitled on any issue to one vote, except that in case of a tie vote, the President shall cast an additional deciding vote. The vote of a majority of the Directors shall be the action of the Board of Directors, except as otherwise provided by statute. Parliamentary procedures shall follow Robert’s Rules of Order except as otherwise provided in these Bylaws.
Section 5.07 REMOVAL OF DIRECTORS. Any Director may be removed for cause by a simple majority of the votes cast at a meeting of the Governors.
Section 5.08 RESIGNATIONS. Any Director may resign at any time by giving written notice to the Board of Directors, the President or Secretary.
Section 5.09 VACANCIES. Any newly created Directorships and vacancies occuring in the Board of Directors by reason of death, resignation, retirement or removal shall be filled by vote of a majority of the remaining Directors at their next meeting following the event. Any such election shall be submitted to the Governors at their next meeting following the election, for ratification. Any Director elected to fill a vacancy shall hold office for the unexpired term of their predecessor.
Section 5.10 GENERAL POWER OF DIRECTORS. The Board Of Directors shall administer all affairs of the Corporation. It may authorize to be made for the Corporation in its name, any description of contract which the Corporation may lawfully enter into, and it may generally exercise all such other powers which the Corporation, by the Articles of Incorporation or otherwise, is authorized to exercise. No purchase of real property nor sale, mortgage, or lease of its real property shall be made by the Union unless authorized by a vote of at least three-fourths (3/4) of the whole number of Governors voting in person or by written proxy at a duly constituted meeting. The Board of Directors shall present at the Annual Meeting of the Governors, a report certified by the President and Treasurer, or by a majority of the Board of Directors showing the whole amount of real and personal property owned by it, where located, and where and how invested, the amount and nature of the property acquired during the year immediately preceding the date of the report and the manner of the acquisition, the amount applied, appropriated or expended during the year immediately preceding such date, and the purposes, objects or persons to or for which applications, appropriations or expenditures had been made and the names and addresses of Governors of clubs (and other members) admitted to membership in the Union during such year. Such report shall be filed with the records of the Union at the annual meeting and an abstract thereof shall be entered in the minutes of the proceedings of the annual meeting at which the report is presented. | |

 | | Section 6.01 No Governor or Officer of the Union shall receive, directly or indirectly, any salary, compensation or emolument from the Corporation, either in their official or in any other capacity. If budgeted and approved by the Governors at their Annual meeting, an honorarium or gratuity may be paid to such other persons as may from time to time assist the Union by performing secretarial support for Union activities. Reimbursement for travel expenses, where specifically approved by the Board of Directors shall not be considered compensation.

 | | Section 7.01 The Governors or Directors may at their discretion and by resolution adopted from a simple majority vote, appoint committees of the Union which shall have and may exercise such powers as authorized by the resolution appointing them.

 | | Section 8.01 The Board of Directors may appoint and remove Agents of the Union to assist in conducting affairs of the Union. Such Agents may simultaneously hold office either as a Governor or Director of the Union. Agents may attend meetings of the Board of Directors as requested by the Governors or Directors. Agents of the Union shall include the Men's Division Coordinator, the Sponsorship Officer, the Legal Advisor to the Union, All Star Coach(es) and All Star Manager(s).
Definition of Agents' duties and powers are defined in Schedule XIV or as defined by the President upon his appointment of the Agent if not already defined in the schedule.

 | | Section 9.01 MEMBER OBLIGATIONS. Each Regular Member and Associate Member will pay yearly dues as specified by the Governors at the Annual Budget Meeting at which the budget for the forthcoming year is approved. In addition, all members, Full, Associate and Recognized may be assessed their proportionate share of financial obligations as determined by the Board of Directors and approved by the Board of Governors.
All proceeds from events sponsored by the Union shall be retained by the Union. Those members wishing not to be involved in Union events shall not be liable for the specified financial obligations arising from the event in question but may not be permitted to take part in any way in any future union event for a period of two years after the original event.
Section 9.02 CONTRACTS AND CHECKS. All deeds, documents, transfers, contracts, engagements, bonds, checks, bills, exchanges and other instruments requiring execution by the Union shall be signed only under the appropriate authority given by the Board of Directors which shall be evidenced by an appropriate resolution of the Board of Directors.
Section 9.03 FISCAL YEAR. The Fiscal Year shall begin on the first day of January and end the last day of December.

 | | Section 10.01 Discrimination
No member club, institution, or individual shall prevent any person from joining a member club or from playing rugby football or from participating in any club or union activities on the grounds of race or color, sex, sexual preference, or religion, except that, in order to avoid serious physical injury, no member club, institution or individual shall sponsor, promote service or otherwise authorize any practice, scrimmage, game or match on the fields of play which involves simultaneously both male and female players. Transsexual persons shall be permitted to play under the guidelines of the International Olympic Committee and USA Rugby.

 | | Section 11.01 One or more Union representative XV(s) shall be selected from among players of Full and Associate Member clubs.
Section 11.02 REPRESENTATIVE SIDE SCHEDULE The schedule shall be established by the Secretary in conjunction with the Union coach(es) and shall be subject to ratification by the Board of Directors.
Section 11.03 The colors of the Representative side(s) shall be royal blue shirts, white short and blue and red socks.

 | | Section 12.01 JURISDICTION The Union will have jurisdiction over all tours within the scope of its authority under the auspices of MARFU. The Union will be responsible for the effective implementation of all rules of MARFU.
Section 12.02 INITIATION OF TOURS. Incoming tours may not be initiated by any member club without the prior approval of the Board of Directors. Outgoing tours to areas outside the jurisdiction of MARFU may not be initiated by member clubs without the prior approval of both the Potomac Rugby Union Board of Directors and MARFU. All tours and tournaments shall be conducted within the rules of MARFU and, where applicable, within the rules of the Potomac Rugby Union.

 | | Section 13.01 Power and Duties of individual Directors and Agents are listed in the Schedules to these By-Laws.

 | | Section 14.01 – REPEAL, ADOPTION, AND AMENDMENT. The By-Laws may be amended, repealed or adopted by vote of three-fourths of the Governors present at a duly constituted meeting. A copy of any proposed amendments must be included in the notice of the meeting.
Section 14.02 – SCHEDULES. The Schedules attached to these By-Laws may be amended, repealed or adopted by majority vote of the Governors present at a duly constituted meeting. A copy of the proposed amendments must be included in the notice of the meeting.
Section 14.03 – CHANGE HISTORY A history of changes to the Bylaws and Schedules shall be maintained as an appendix to the Bylaws and Schedules. The history shall include the Article/Schedule number, Section number, previous text, and amended text, or a note that the text was repealed in full or adopted in full, the date that such changes were made, and the names and positions of the Executive Officers presiding at the time that such changes were made.

 | | S1.01 It is the duty of the President to:
a. Act as chairman of the Board of Directors.
b. Preside over meetings of the Governors.
c. Receive and accept (or deny) resignations from the Board of Directors.
d. Cast a deciding vote at tied meetings of either Governors or Directors.
e. Issue declarations of policy on behalf of the Union, as approved by the Directors or Governors, and as prepared for signature by the Secretary.
f. Encourage membership in the Union.
g. To act with energy, speed and initiative where they perceive that a task needs doing which would even in a small way, assist the management, promotion or development or the game.
h. To foster actively the reputation and image of the Potomac Rugby Union as an effective and respected organization.

 | | S2.01 It is the duty of the Vice President to:
a. Succeed the President in the event of his/her death, resignation or removal from office, and to serve in that capacity until a new President is elected.
b. In the absence of the President, chair meetings of the Board of Directors and Governors'.
c. Assist the President in the execution of his/her duties.
d. Supervise the PRU events, either directly or through a designee.
e. To act with energy, speed and initiative where they perceive a task needs doing which would, even in a small way, assist the management, promotion or development or the game.
f. To foster actively the reputation and image of the Potomac Rugby Union as an effective and respected organization.

 | | S3.01 The duties of the Secretary are:
a. To send out notices of all meetings of the Governors and Directors.
b. To prepare and publish Agendas in conjunction with the President.
c. To record the minutes of such meetings and to publish those minutes within two (2) weeks of the meeting to all member clubs and interested parties.
d. To supervise, on behalf of the Executive Officers, the activities of all other Directors of the Union, its Agents and Committees in the performances of their duties.
e. To publish in association with the Competitions Director an accurate accounting of member's match schedules, tournaments and Union events. Similarly, with the Representative Side XV coach(es) and accurate accounting of trials, matches and other All Star events.
f. To maintain and publish annually to all Union members, MARFU and the USARFU an up to date and accurate list of the names, addresses and telephone numbers of:
1. All Union members, including all club officers
2. All Union Directors and Program Coordinators
3. All USARFU and MARFU Officers and Directors
4. Potomac Society of Rugby Football Referees
5. Any other mailing/telephone information which may from time to time be useful in the execution of Union business.
f. To maintain an effective communications with the PSRFR Secretary in respect of:
1. Changes in members' games schedules
2. Incoming tours and visiting teams
3. All competition plans
4. Changes in the Laws of the Game
5. Union views in trends in players' behavior and Law interpretations
g. To notify members of Law changes h. To maintain effective communications with the Secretary of MARFU, the appropriate specialist committees of the USARFU, and with the Secretaries of all other Local Area Unions and Territorial Union members of the MARFU.
In particular, to keep these agencies informed of any suspended or probationary PRU members and their current ineligible status along with any changes to that status. i. To act with energy, speed and initiative where he perceives that a task needs doing which would even in a small way, assist the management, promotion or development or the game.
j. To foster actively the reputation and image of the Potomac Rugby Union as an effective and respected organization.

 | | S4.01 The duties of the Treasurer are:
a. To maintain and report all current financial conditions of the Union.
b. To have overall responsibility for the legitimacy and accuracy for monies paid out and collected by the Union (except where a Union Committee in charge of a specific and temporary Union event, such as a visiting international team, has been duly authorized to set up its own Treasurer and to maintain its own banking arrangements, separate from the Union's regular funds).
c. To publish a full annual statement of account as of the 1st of September.
d. To be a party to all Union negotiations regarding the expenditure of money.
e. To prepare an annual budget for presentation to the Annual Governors' Meeting.
f. To prepare and dispatch bills to members for such dues as may be authorized by Governors or Directors.
g. To ensure that monies due to the Union are recovered as quickly as possible.
h. To ensure that monies owed by the Union are paid with the minimum delay consistent with the Union's financial position obtaining at the time.
i. To maintain and operate the Union's checking and deposit accounts.
j. To act with energy, speed and initiative where they perceive that a task needs doing which would even in a small way, assist the management, promotion or development or the game.
k. To foster actively the reputation and image of the Potomac Rugby Union as an effective and respected organization.
l. To report the activities of treasury in writing at all meetings of the Board of Directors and Governors.
S4.02 The Treasurer shall work with the Fiscal Review Committee in all matters of financial accountability as the Committee deems necessary.

 | | S5.01 The duties of the Director for Grounds are:
a. To obtain, at least 4 weeks before the start of a season, permits for the use of club fields and to pass copies of those permits to the clubs concerned.
b. To maintain effective communications with match secretaries to ensure that problems associated with fields availability are dealt with in a timely manner.
c. To maintain amicable relations between the Union and the appropriate Parks Service and Recreation Department officials.
d. To make energetic efforts to persuade the owners to improve the maintenance and up keep of fields in the PRU area.
e. To keep constant watch for fields which might be made available to members in future, and to maintain a record of such locations and a history of any negotiations entered into on behalf of the Union or its members for the use of such.
f. To assist and advise the Union's Grounds Purchase Committee in its efforts to locate a Union Ground and raise the necessary purchase price.
g. To maintain a constant campaign to persuade clubs to mark their fields properly and to adopt a Union standard type of marker flag.
h. Where a match secretary is unable to find a field for a home fixture, to do so for him.

 | | S6.01 The Disciplinary Committee of the Union consists of a chairperson and an appointed committee representative of the collective Union members along with a representative of the PSRFR in an advisory capacity. The Disciplinary Committee will be appointed by the President in consultation with the Disciplinary Committee Chairperson. The Committee's function is to oversee the behavior of all Union affiliated clubs and players in matters relating to the game itself and to the public image of Rugby. Therefore, actions on both on and off the pitch may come under scrutiny of the committee.
S6.02 The Union adheres to the disciplinary policies and procedures of the Mid-Atlantic Rugby Football Union and USA Rugby. These procedures are published in the MARFU Handbook or the MARFU web site or the USA Rugby web site or other such place or form or web site as MARFU or USA Rugby may from time to time decide. USA Rugby and MARFU disciplinary policies and procedures shall override any conflicting PRU disciplinary policies and procedures. This includes the MARFU policy on alcoholic beverages, eligibility and Code of Conduct.
S6.03 Primary to the game of rugby football is the absolute supremacy of the referee, on and off the immediate field of play. Mindful of the foregoing axiom and the adherence to MARFU policy, the Disciplinary Committee is empowered to levy monetary fines and other sanctions, including, but not limited to, probation and suspension as deemed necessary. Such fines and sanctions will be determined on a case-by-case basis.

S14.02 - THE PRU LEGAL ADVISOR.
The duties of the PRU Legal Advisor are to counsel the Board of Directors or Board of Governors on any legal aspect of union affairs, as may be requested from time to time.
a. The office of Legal Advisor is filled by appointment by the Board of Directors.
S14.03 - SPONSORSHIP COORDINATOR
The duties of the Sponsorship Coordinator are:
a. To actively seek out sponsorship funding in accordance with the goals and standards of the Union.
b. To coordinate any sponsorship funding or activity as offered by USARFU or any other source and fullfil any prerequisite requirements associated with the sponsorship.
c. To appoint and manage a Committee of helpers as necessary.
d. To organize, at least once annually, a social event or playing event open to all member clubs and their individual members.
e. To arrange, in conjunction with the Treasurer, for the purchase of whatever services and provisions are needed for each event.
f. To assist the Competitions Director, as requested, in the organization of funding for any social functions associated with an incoming tour, a tournament, or a representative game.
S14.04 - PSRFR REPRESENTATIVE TO THE PRU BOARD OF DIRECTORS.
The duties of the Director for Referees Affairs are:
a. To act as a formal intermediary link between the PSRFR and the Union.
b. To advise the Directors and Governors of the referee's viewpoint on any matter at issue or in negotiation.
c. To advise the Directors and Governors of the PSRFR's concerns on appropriate legislation and programs.
d. To advise the Treasurer on PSRFR running expenses.
e. To report the activities of the Referees Society in writing at all meetings of the Board of Directors and Governors.
f. The office of Referee Director is not subject to election by the Governors. The incumbent is elected by the PSRFR and is appointed to the Board of Directors at such time as may be determined by the PSRFR.

Recognized Status (or Membership) was created for those clubs just starting who do not feel they are ready for Associate Membership. Those clubs admitted as Recognized Clubs Members will only be eligible to play members in good standing within the PRU.
This status is good for a period of two (2) years, after which the club MUST apply for Associate Membership as per Mid-Atlantic Rugby Football Union Mandate.
Application for Recognized Club Status (Membership) must be made to the Union secretary and must include (at minimum) the following:
1. A letter requesting recognition as a Recognized Club which will include a brief history and/or need for a club in that geographical area.
2. A copy of your By-Laws and/or constitution.
3. A list of team officers with addresses and phone numbers. Officers should include: President, Match Secretary, Treasurer, Recording Secretary and PRU Governor. Other appointments such as Medical Person/Trainer, Referee, Coach, etc. must also be included. (School and summer addresses and phone numbers are required for college teams).
4. A team roster (names, addresses, zip codes and phone numbers).
5. First and second choices for colors of jerseys, shorts, socks and style of each (can be cut from a rugby supply catalog).
6. Date of officers elections. *Note* Must be once per year at the END of the Fall season.
7. Colleges must include their Faculty Advisor's name, address and phone number, along with a letter from the Advisor stating their willingness to ensure that the "Duties of a Faculty Advisor" are carried out.
8. Colleges must include the name, address and phone number of their Athletic Director and Director of Club/Intramural Sports. A letter (on school letterhead) from one of these persons regarding the school's support for rugby (use of school facilities, fields, trainers, equipment, funding and future plans) is required.
9. A copy of your current budget, Colleges must include the amount funded by the school and description of how and when funds are disbursed by whom. List line items that the school will fund and ones they will not.
10. A list of fundraisers, charity events, etc. that you have planned to raise money, remain solvent and improve the image of rugby either in your community or on your college campus.
11. Recruiting methods and plans for bringing in new players.
12. Location of practice and playing fields. List any restrictions on their use (insurance, inclement weather, etc.). List owner of field (school, city, county, park service, etc.).
13. All teams MUST have a coach and a person who will attend referee training sessions and be available to referee as requested by the Referee Society.
14. A check payable to the "PRU" for $100 must be enclosed with your application. This amount will be credited to your total dues payment or refunded if your application is denied.
All Recognized Member Clubs must carry the current mandatory liability insurance as described by CIPP Membership.
These Clubs will be under the jurisdiction of the PRU Disciplinary Committee and are expected to uphold the rules and regulations of the PRU. Disciplinary action may be taken against a Recognized Club if the Disciplinary Committee feels it is warranted.
All Recognized Member Clubs MUST keep the Union Secretary apprised of their current officers, their addresses and phone numbers.
Should the club/college wish to resign from the Union, a statement of such intent must be submitted, in writing, to the President of the Union. It should be signed by at least two officers. The club/college will be responsible for any financial obligation for the fiscal year in which the resignation was tendered.

Background
The PRU Bylaws are published on the PRU web site www.pru.org There appear to be several parts missing, namely Articles X, XI, XII, XIII, and XIV (despite references to those sections), and Schedules VIII, XI, and XIII (which are not referenced directly).
I have been able to locate two paper copies of the PRU Bylaws which appear to be identical to each other (save for different text font and layout). There are what appear to be proposed amendments attached to one of these copies that are dated January 1991. It is not clear that these amendments were ever voted on or adopted. Some of the amendments would have appeared in the missing sections. Other amendments do not appear in the current version where they would be expected.
The paper copies (current version) have the sections that are missing on the web site copy (current version). However, where there are equivalent sections in both versions, there apparently have been some bylaw changes from the time of the early 1991 paper copy to the current web copy (there are some significant differences). The Secretary does not recall any bylaw changes, so assuming they were done according to proper procedure, they were probably done more than six years ago.
Recommendations from the Secretary
The Secretary proposes that the PRU Board of Governors re-affirm the current Bylaws (they can be found at www.pru.org/by_laws.html) in addition to voting on the proposed amendments that are discussed later in this document.
Editorial changes to the Bylaws
In the following, words that have been deleted are mark with a strikethrough (eg, these words strikethrough have been deleted), and words that have been added are bolded (eg, these words have been added in bold type).
Amendment AP. In the Preamble, change the spelling of the mnemonic for USARFU (now says USASRFU). Also, renumber the sections from 1-3 to Section P.01-P.03 to be consistent with numbering elsewhere in the Bylaws. Note for consideration: The sentence in Preamble (3) currently reads “The Corporation has concurrent [the word ‘concurrent” was deleted from original version] jurisdiction over its members … including … related matters except where indicated [bolded words added to current version].
Amendment A1. Renumber the first/only paragraph to Section 1.01 to be consistent with numbering elsewhere in the Bylaws.
Amendment A2. In Article II, change the sentence in (c) to “One representative, hereinafter referred to as a Governor…”. Also, renumber the sections from a-d to Section 2.01-2.04 to be consistent with numbering elsewhere in the Bylaws.
Amendment A3b. In Article III, wherever the term “Regular Member” appears, change it to “Full Member” to be consistent with the typical wording in the Bylaws. [There was probably a Bylaw change since the original version was printed changing the wording, but not all corrections were made.] The three classes of membership are Full (highest level), Associate, and Recognized (lowest level).
Amendment A3c. Throughout the Bylaws starting with Article III, wherever the term “Eastern Rugby Union” or “ERU” appears, change it to “Mid-Atlantic Rugby Football Union” or “MARFU” to be consistent with the typical wording in the Bylaws. [There was probably a Bylaw change since the original version was printed changing the wording, but not all corrections were made.]
Amendment A3d. Section3.02(b) refers to Associate members. The middle of the section refers to the dues that shall be paid by Associate members. Change the sentence as follows “Associate members’ dues shall be decided by the Board of Directors but shall be below the full Full Member rate by at least the Eastern Rugby Union club capitation rate pertaining at the time.” The next sentence about voting does not make clear, as is intended later on in Article IV, Section 4.09, that Associate Members do not have a vote on fiscal (budget) and electoral matters. Change the sentence as follows “Associate Members shall appoint a Governor to the Board of Governors, who shall be entitled to vote at Governors’ meetings except in fiscal (budget) and electoral matters.”
Amendment A5a. [Added during the meeting] Delete the reference to the Union Handbook at the end of Section 4.05. "Section 4.05 - ATTENDANCE AT MEETINGS BY GOVERNORS. Members not in attendance may be sanctioned as indicated in section 3.05, above and defined in the Union Handbook."
Amendment A5a. At the end of Section 5.02, change the sentence “Definition of Director’s duties follows in the attached schedules and are elaborated upon further in the Union Handbook.” The Schedules are the only reference to Director’s duties. There is no Union Handbook.
Amendment A8. In Article III, change the first sentence in Section 3.01 to read [revised text given without editing the original]. “Membership in the Union shall be open to all rugby clubs having their main playing grounds within the State of Maryland, the District of Columbia, and the northern Virginia counties of Arlington, Fairfax, Loudoun, Prince William, Clarke, and Frederick, and all incorporated cities within those counties and the city of Alexandria [and possibly other counties].” [The current version spells out certain Maryland counties essentially in eastern Maryland but doesn’t specify others in western Maryland. Likewise for Virginia, only certain counties in northern Virginia are spelled out, but some obvious ones are missing.]
Amendment A3e. Section 3.02(c) refers to Recognized members and was apparently amended from the original version to permit the PRU to assess dues to Recognized (formerly Affiliate) Members, but the wording is incorrect. Change the last sentence in 3.02(c) to be similar to that in 3.02(b) and to read “Recognized members’ dues shall be decided by the The Board of Directors but shall be below the Associate Member rate may at any time require Regular Recognized members to pay minimum dues.”
Amendment A3f. While Article III defines the classes of membership (and Amendment A3g defines the rights and privileges of membership), there is no definition in this or any other article or schedule of the Bylaws of what is required of prospective members or current members who aspire to a higher class of membership. However, there is already such a definition on the PRU web site at www.pru.org/pru_applymember.html This amendment (in conjunction with Amendment S15) proposes to add Section 3.02(d) to Article III which would point to this text:
(d) Requirements for Membership
The requirements for membership are stated in Schedule XV. These requirements may be changed by a two-thirds (2/3) vote of the Board of Governors.”
Amendment A3g. Sections 3.02(a)-(c) do not make clear what privileges each of the membership classes has. Add the following table after Section 3.02(c):

Amendment A4a. Change Section 4.02 to read “The Annual Election Annual General Meeting of the Board of Governors shall be held during the first three weeks of February during the last two weeks of January or the first two weeks of February for the purpose of electing Directors and Officers according to the schedule provided in Article V, as well as taking a final vote on the annual budget, the transaction of business as may properly come before the meeting, giving end-of-year wrap-ups, and making preparations for the start of a new year. The Annual Budget Meeting of the Board of Governors shall be held during the first last three weeks of November or the first week of December for the purpose of approving discussing and taking a first vote on the annual Union budget for the following year and the transaction of business as may properly come before either the meeting. The date for either meeting may be set for some other time upon a three-fourths vote of the Board of Governors at the meeting immediately preceding the meeting which is to be scheduled for some other time.
Amendment A4b. Add the following sentence to the end of Section 4.06 as e-mail and web site are the nominal forms of communication, “Approved forms of notice shall be postal mail, e-mail (either directly to a Governor’s e-mail address or via the PRU list service), or the PRU web site.”
Amendment A4c. In Section 4.07, referring to notice of meetings, change the phrase “…without protesting prior to the conclusion at the start of the meeting…”. If someone is to protest that he was not given proper notice, then it makes little sense to conduct any or all of the meeting before such a protest is made.
Amendment A4d. In Section 4.09, referring to weighted votes and delinquent members, change the last two sentences, and insert two sentences and a table between them, “Exception: When voting on matters of fiscal (budget) and electoral concerns, each Governor shall carry a weighted vote in proportion to the size of their membership as determined by the current dues structure corresponding to their membership status (Full, Associate, Recognized) and divisional association (Men, Women; Senior, College, HS, Youth; D1, D2, D3) at that time. The weighted vote shall be determined by the Board of Directors and approved by the Board of Governors with a three-fourths majority required for approval (the three-fourths majority shall be an unweighted vote as required for any bylaw change). The weighted vote shall be approximate proportion to the amount of dues paid to the Union, with the lowest amount carrying one full vote and higher amounts carrying proportionally more than one full vote. The weighted vote shall be defined by the following table (updated as appropriate whenever the dues structure changes):

Members delinquent in their dues or other financial obligations to the PRU, or to another rugby governing body, or to another rugby club, or to another rugby-affiliated organization will not be entitled to vote unless the delinquency is resolved prior to the start of the meeting.”
Amendment A5b. At the end of Section 5.06, add the sentence “Parliamentary procedures shall follow Robert’s Rules of Order except as otherwise provided in these Bylaws.”
Amendment A10. Since the text to Article X in the current bylaws is missing, add/amend Article X in the current bylaws by including the text from Article X in the previous Bylaws, as follows.
Article X – DISCRIMINATION
Section 10.01 No member club, institution, or individual shall prevent any person from joining a member club or from playing rugby football or from participating in any club or union activities on the grounds of race or color, sex, sexual preference [the last two words added to the original Article X], or religion, except that, in order to avoid serious physical injury, no member club, institution or individual shall sponsor, promote service or otherwise authorize any practice, scrimmage, game or match on the fields of play which involves simultaneously both male and female players. [The following sentence is added to the original Article X] Transsexual persons shall be permitted to play under the guidelines of the International Olympic Committee and USA Rugby.
Amendment A11. Since the text to Article XI in the current bylaws is missing, add /amend Article XI in the current bylaws by including the text from Article XI in the previous Bylaws.
Article XI – REPRESENTATIVE SIDES
Section 11.01 One or more Union representative XV(s) shall be selected from among players of Full and Associate Member clubs.
Section 11.02 The Union selection process shall be based on the following precepts:
a. The PRU Board of Selectors shall consiste of 5 members to be elected by the Governors from nominations submitted by clubs.
b. The Board of Selectors shall serve a 2 year tour, shall have a quorum of 3, not more than one Selector per club shall be represented, and there shall be at least one Selector from the Baltimore area and at least one from the Washington area.
c. The Board of 5 shall elect their Chairman from within their number.
d. The Chairman shall be responsible to the PRU Board of Governors and shall report to them formally twice a year.
e. No member of the PSRFR shall be a Selector.
f. The PRU Board of Directors shall appoint a coach for the Select XV and a coach for any other representative side, subject to Governors’ override.
g. The coach shall not be a Selector but shall advise the Selectors.
h. Each Selector shall be required to attend at least 2 game per season in his official capacity.
i. No player shall be selected to the squad nor dropped from the squad without the majority vote of a quorum of the Selectors.
j. Players shall be at liberty to report to the Board on the effectiveness of the coach.
k. Trials and practice shall be held in both Washington and Baltimore depending on the number of players involved from each location.
Section 11.03 REPRESENTATIVE SIDE SCHEDULE The schedule shall be established by the Secretary in conjunction with the Union coach(es) and shall be subject to ratification by the Board of Directors.
Section 11.04 The colors of the Representative side(s) shall be royal blue shirts, white short and blue and red socks.

Amendment A12. Since the text to Article XII in the current bylaws is missing, add /amend Article XII in the current bylaws by including the text from Article XII in the previous Bylaws.
Article XII – TOURS AND TOURNAMENTS
Section 12.01 JURISDICTION The Union will have jurisdiction over all tours within the scope of its authority under the auspices of MARFU. The Union will be responsible for the effective implementation of all rules of MARFU.
Section 12.02 INITIATION OF TOURS. Incoming tours may not be initiated by any member club without the prior approval of the Board of Directors. Outgoing tours to areas outside the jurisdiction of MARFU may not be initiated by member clubs without the prior approval of both the Potomac Rugby Union Board of Directors and MARFU. All tours and tournaments shall be conducted within the rules of MARFU and, where applicable, within the rules of the Potomac Rugby Union.
Amendment A13. Since the text to Article XIII in the current bylaws is missing, add /amend Article XIII in the current bylaws by including the text from Article XIII in the previous Bylaws.
Article XIII – Powers and Duties
Section 13.01 Power and Duties of individual Directors and Agents are listed in the Schedules to these By-Laws.
Amendment A14a. Since the text to Article XIV in the current bylaws is missing, add/amend Article XIV in the current bylaws by including the text from Article XIV in the previous Bylaws.
Article XIV [no previous title for this article, so add this title] – REPEAL, ADOPTION, AND AMENDMENT OF BYLAWS; SCHEDULES
Section 14.01 – REPEAL, ADOPTION, AND AMENDMENT [the latter two words added to the original section title]. The By-Laws may be amended, repealed or adopted by vote of three-fourths of the Governors present at a duly constituted meeting. A copy of any proposed amendments must be included in the notice of the meeting.
Section 14.02 – SCHEDULES. The Schedules attached to these By-Laws may be amended, repealed or adopted by majority vote of the Governors present at a duly constituted meeting. A copy of the proposed amendments must be included in the notice of the meeting.
Amendment 14b. This section is proposed as new text so that changes to the bylaws can be tracked over time.
Section 14.03 – CHANGE HISTORY A history of changes to the Bylaws and Schedules shall be maintained as an appendix to the Bylaws and Schedules. The history shall include the Article/Schedule number, Section number, previous text, and amended text, or a note that the text was repealed in full or adopted in full, the date that such changes were made, and the names and positions of the Executive Officers presiding at the time that such changes were made.
Amendment S6a. These amendments (S6a-S6c) will update Schedule VI and bring the disciplinary guidelines in sync with USA guidelines. Renumber the two un-numbered paragraphs at the start of the Schedule to S6.01. Add the following after the first sentence “The Disciplinary Committee will be appointed by the President in consultation with the Disciplinary Committee Chairperson.” Change the second paragraph to read “The Committee’s function is to oversee the behavior of all Union affiliated clubs and players in matters…”
Amendment S6b. Reference a set of Disciplinary Procedures that are on the web site but not directly references in the Bylaws Articles or Schedules, and which are different that what was in the original version (www.pru.org/disc_proc/items1-3.html and www.pru.org/disc_proc/items4&5.html), which this amendment proposes to repeal and replace with a set of procedures promulgated by USA Rugby and which are adopted by MARFU. Renumber the paragraph currently numbered 1 to S6.02. Change the paragraph to read “The Union adheres to the disciplinary policies and procedures of the Mid-Atlantic Rugby Football Union and USA Rugby. These procedures are published in the MARFU Handbook or the MARFU web site or the USA Rugby web site or other such place or form or web site as MARFU or USA Rugby may from time to time decide. USA Rugby disciplinary policies and procedures shall override any conflicting MARFU disciplinary policies and procedures, which shall in turn override any conflicting PRU disciplinary policies and procedures.
Amendment S15. Add a new Schedule XV to the current set of schedules. [The vacant Schedules VIII, XI, and XIII can be filled later with schedules for duties and powers of additional directors and other union officials when such positions are created.]
